Grant of Awards under the Kier Group plc Long-Term Incentive Plan

Kier Group plc (the "Company") announces that it was informed on 22 October 2015 that, also on 22 October 2015, awards of contingent rights to receive the following maximum numbers of shares in the capital of the Company had been made to the following directors and persons discharging managerial responsibilities ("PDMRs") under the Kier Group plc 2010 Long-Term Incentive Plan (the "Plan"), at no cost to the individuals and subject to satisfaction of the performance targets and the rules of the Plan:

Mr N P Brook	37,620 shares
Mr B E J Dew	40,308 shares
Mr A J Gordon-Stewart (PDMR)	11,017 shares
Mr A Kang (PDMR)	11,017 shares
Mr H J Mursell	56,995 shares
Mr P J Pethica (PDMR)	14,779 shares
Mr H E E Raven (PDMR)	15,317 shares
Mr N A Turner	37,620 shares
Mr C Veritiero	37,620 shares

The price used for the purpose of calculating these awards was 1395.5p, being the middle market quotation of a share in the capital of the Company on 21 October 2015. 

These awards will not be included for the purposes of calculating the total beneficial interests of these individuals in the capital of the Company unless, and to the extent that, they vest on 22 October 2018.

This notification is made in accordance with Disclosure and Transparency Rule 3.1.4R (1)(a).
