ADJUSTMENT TO DIRECTOR / PDMR AWARDS FOR THE RIGHTS ISSUE

On 3 June 2015, the Company announced that the 5 for 7 rights issue of 39,646,692 new ordinary shares in the capital of the Company ("Ordinary Shares") at 858 pence per new Ordinary Share ("Rights Issue") had closed for acceptances at 11:00 a.m. (London time) on 2 June 2015.

Certain of the Company's persons discharging managerial responsibilities ("PDMRs") have interests in Ordinary Shares under awards made under the Kier Group plc 2010 Long-Term Incentive Plan ("LTIP").  No exercise price is applicable to the LTIP awards. 

On 9 June 2015, the Company's Remuneration Committee approved adjustments to the maximum numbers of Ordinary Shares to which these LTIP awards relate, to reflect the effect of the Rights Issue.  The adjusted number of Ordinary Shares for each such PDMR is as follows:
