Notification of transactions by persons discharging managerial responsibilities

Kier Group plc (the "Company") announces that, on 13 October 2025, the following persons discharging managerial responsibilities ("PDMRs") were granted share awards under the Kier Group plc 2020 Long-Term Incentive Plan (the "LTIP") (the "Awards"). The Awards were made at no cost to the individuals and will only vest to the extent that certain performance conditions are satisfied by the Company over a three-year performance period which runs from 1 July 2025 to 30 June 2028. The performance conditions relating to the Awards can be found on page 109 of the 2025 Annual Report and Accounts. The price used for the purpose of calculating the Awards was 204.5 pence per ordinary share of 1p each in the capital of the Company ("Share"), being the average three-month Share price prior to the date of grant.
