DIRECTOR/PDMR SHAREHOLDING

Kier Group plc (the "Company") announces that it was informed on 23 November 2015 that, also on 23 November 2015, Mr Nigel Brook, an executive director of the Company, exercised 1,072 options under the Kier Group plc 2006 Sharesave Scheme, at an option price of £8.393 per share.  Following the exercise, Mr Brook transferred 1,072 shares in the Company to his wife, Mrs Deborah Brook, for nil consideration.

As at the date of this announcement, Mrs Deborah Brook has interests in 1,072 shares in the capital of the Company (or 0.001% of the issued share capital).

The total interest in the share capital of the Company of Mr Nigel Brook, when aggregated with those interests of his connected person (Mrs Deborah Brook) is 14,460 (or 0.015% of the issued share capital of the Company).
