DIRECTOR/PDMR SHAREHOLDINGS

Kier Group plc (the "Company") today announces the following changes in the interests of directors and persons discharging managerial responsibilities ("PDMRs") which were notified to it on 29 September 2015:

Release of deferred shares

Beneficial interests in the following numbers of shares were allocated in connection with the Company's bonus arrangements for the financial year ended 30 June 2012.  Prior to their release, legal title to the shares was held on trust by the Kier Group 1999 Employee Benefit Trust (the "Trustee").

These shares were released to the relevant individuals on 29 September 2015.

Award of deferred shares

On 29 September 2015, beneficial interests in the following numbers of shares were allocated in connection with the Company's bonus arrangements for the financial year ended 30 June 2015. 

The Trustee will hold the shares on trust for such individuals until 29 September 2018 (subject to the rules of the bonus arrangements).  The price at which the beneficial interests in the shares were allocated was £13.64 per share.
