KIER GROUP PLC - DIRECTOR/PDMR SHAREHOLDINGS

Deferred Shares

Kier Group plc (the "Company") announces that, on 29 September 2014, the following directors and person discharging managerial responsibility ("PDMR") were allocated beneficial interests in the following numbers of shares in the capital of the Company:

Mr S Bowcott	2,693 shares
Mr H J Mursell	2,693 shares
Mr H E E Raven (PDMR)	1,018 shares

The beneficial interests in these shares have been allocated to the above-named individuals, at no cost to them, as part of the Company's bonus arrangements for the financial year ended 30 June 2014.  The legal title to the shares is held by the trustee of the Kier Group 1999 Employee Benefit Trust (the "Trustee").

The Trustee will hold the shares on trust for such individuals until 29 September 2017 (subject to the rules of the bonus arrangements). The price at which the beneficial interests in the shares were allocated was £16.81, being the middle market quotation of a share in the capital of the Company on 26 September 2014.

Following these allocations, the total beneficial interests of the individuals were:

Mr S Bowcott	21,330 shares	0.04% of the issued share capital
Mr H J Mursell	19,828 shares	0.03% of the issued share capital
Mr H E E Raven (PDMR)	4,641 shares	0.008% of the issued share capital
