Kalera AS: Notice of extraordinary general meeting

Oslo, 13 August 2021 — Reference is made to the stock exchange notice from Kalera AS (the "Company", Euronext Growth Oslo ticker KAL, Bloomberg: KSLLF) published on 11 August 2021 regarding the Company's acquisition of all the shares in &ever GmbH.

The agreed consideration to the shareholders of &ever GmbH consist of EUR 21.6 million in cash and 27,856,081 Company shares at a subscription price of NOK 36.68 each. To resolve the issuance of the consideration shares, an extraordinary general meeting of the Company will be held on 25 August 2021 at 10:00 hours (CEST) at the Company's offices in Tjuvholmen Allé 19, Oslo.

The notice for the extraordinary general meeting is attached to this notice and can also be found at the Company's website (www.kalera.com/investor) together with the documents referred to in the notice.

Notice of attendance to the extraordinary general meeting may be given through the registration form attached to the notice for the extraordinary general meeting. Registration must be made no later than 24 August 2021 at 10:00 hours (CEST).
