Sub.: Allotment of 1,80,448 Equity Shares on conversion of Share Warrants

Dear Sirs,

Pursuant to the allotment of 30,70,516 warrants on 25[th] February 2022 and 4[th] March 2022, each convertible into, or exchangeable for, one equity share of face value of Rs. 5/- each (“Warrants”) at an issue price [including the warrant subscription price at the rate of Rs. 82.25 per warrant (“Warrant Subscription Price”) and the warrant exercise price at the rate of Rs. 246.75 per warrant (“Warrant Exercise Price”)] of Rs. 329/- each (Rupees Three Hundred Twenty Nine only) (“Warrant Issue Price”) on preferential basis to 7 allottees (“warrant holders”) and upon receipt from the warrant holder i) written notice to convert/exchange its warrants into/for equity shares of Rs. 5/- each of the Company and ii) Warrant Exercise Price for the warrants so held by them, as per the terms of issue of Warrants.

The Securities Allotment Committee of the Company at its meeting held today i.e. March 29, 2021 has allotted 1,80,448 equity shares of Rs. 5/- each, upon conversion / exchange of equal number of warrants, as per the details given below:

Post the above allotment, the paid up capital of the Company has increased from Rs. 15,95,11,600/- (319,02,320 equity shares of face value of Rs. 5/- each fully paid up) to Rs. 16,04,13,840/- (3,20,82,768 equity shares of face value of Rs. 5/- each fully paid up).

The meeting of the Committee commenced at 5:00 P.M. and concluded at 5:40 P.M.
