Outcome of the Board Meeting

Pursuant to the applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing Regulations’) as amended, we wish to inform you that the Board of Directors of the Company in their Board Meeting (No. 5 of 2025) held today has interalia

1. Considered and approved Green Field Expansion of new Cement line of 7 Million Tonnes Per Annum (MnTPA). The clinkerisation unit of 4 MnTPA and cement grinding of 3 MnTPA at Jaisalmer, Rajasthan and two split grinding units each of capacity of 2 MnTPA in Rajasthan and in Punjab. The total proposed investment for the expansion is estimated at Rs. 4805 Crores.

2. Mr. Shambhu Singh (ICSI Membership No. FCS 5836), Company Secretary and Compliance Officer of the Company after serving more than 17 years is superannuating with effect from close of the business hours of 31[st] October, 2025. At the recommendation of Nomination and Remuneration Committee with effect from 1[st] November, 2025 Ms. Bhumika Sood (ICSI Membership No. ACS 19326), who is presently acting as Deputy Company Secretary, has been appointed as Company Secretary and Compliance Officer of the Company under Listing Regulations and also Key Managerial Personnel and part of Senior Management Personnel. The details as required under Clause 7 of Para A of Part A of Schedule III of Listing Regulations read with SEBI Master Circular No. SEBI/HO/CFD/ PoD2/CIR/P/0155 dated 11[th] November, 2024 are given in Annexure A.

3. At the recommendation of Nomination and Remuneration Committee Mr. Raghav Moreshwar Tare Group Financial Controller has been appointed/designated/reckoned under Senior Management of the Company with effect from 1[st] August, 2025 pursuant to provisions of Regulations 16(1)(b) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 and applicable provision of the Companies Act, 2013 (‘Act’).

4. Mr. Neeraj Singhal, who was designated as Senior Management, acted as Group Financial Controller upto close of the business hours of 31[st] July, 2025 and with effect from 1[st] August, 2025 has been moved to the role of Head – Internal Audit & Risk Compliance. Since Mr. Singhal’s role is independent of Management he has been removed from Senior Management Personnel.

She has over 20 years of extensive experience in core secretarial, regulatory and compliance functions, including public issues (IPOs), ESOPs, Corporate Restructuring, domestic/ cross border mergers & acquisition and allied regulatory and Legal Affairs of reputed organizations. At present she is working as Deputy Company Secretary with JK Cement Ltd. She has previously worked with Bharti Airtel, Spice group, Vedanta Group and served as the Company Secretary and Compliance Officer (KMP) of Schneider Electric Infrastructure Limited.
