FORM OF PROXY FOR THE 2006 ANNUAL GENERAL MEETING
I/We[1] of being the registered holder(s) of[2] ordinary shares of HK$0.10 each in the capital of Midas International Holdings Limited (the “Company”) hereby appoint the Chairman of the Meeting or failing him
of as my/our proxy to attend and vote for me/us and on my/our behalf at the Annual General Meeting of the Company to be held at 25th Floor, Alexandra House, 18 Chater Road, Central, Hong Kong on Thursday, 31st May, 2007 at 10:00 a.m. and at any adjournment thereof on the undermentioned resolutions as indicated and if no such indication is given as my/our proxy thinks fit.

1 To receive and consider the audited consolidated financial statements and directors’
report and auditors’ report for the year ended 31st December, 2006.
2 To declare a final dividend.
3 (a) To re-elect Mr. HUNG Ting Ho, Richard as a director.
(b) To re-elect Mr. KWOK Chi Fai as a director.
(c) To re-elect Mr. SHEK Lai Him, Abraham as a director.
(d) To re-elect Dr. LI Sau Hung, Eddy as a director.
(e) To re-elect Mr. YAU Chi Ming as a director.
(f) To authorise the Board to fix the remuneration of the directors.
4 To re-appoint Deloitte Touche Tohmatsu as auditors of the Company and authorise the
Board to fix their remunerations.
5A To grant a general mandate to the directors to repurchase ordinary shares of the
Company.
5B To grant a general mandate to the directors to allot, issue and deal with additional
ordinary shares of the Company.
5C To extend the general mandate granted to the directors to issue ordinary shares by the
number of ordinary shares repurchased.

To be valid, this form of proxy together with the power of attorney or other authority, if any, under which it is signed must be completed and deposited at the head office and principal place of business of the Company at 1st Floor, 100 Texaco Road, Tsuen Wan, New Territories, Hong Kong, not less than 48 hours before the time appointed for holding the meeting.
