Note i: The convertible note holder shall have the rights to convert an aggregate amount up to HK$50,000,000 into ordinary shares. As to the amount of the convertible note at close of the month of HK$61,750,000, a sum up to HK$41,750,000 can be converted into ordinary shares.

Note ii: The conversion price was adjusted to HK$0.223 as a result of the completion of the Rights Issue which was announced on 20 July 2011.
