CHANGE OF COMPANY SECRETARY, AUTHORISED REPRESENTATIVE AND AGENT FOR SERVICE OF PROCESS IN HONG KONG

The board of directors (the “Board”) of Synergis Holdings Limited (the “Company”) announces that with effect from 12 December 2013:

1. Ms. Hui Suk Man (“Ms. Hui”) has resigned and Mr. Wong Long Kee (“Mr. Wong”) has been appointed as the company secretary of the Company and an authorised representative required under rule 3.05 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited; and

2. Ms. Hui will also cease to be an agent of the Company for accepting service of process and notices in Hong Kong on behalf of the Company under the Companies Ordinance and Mr. Wong has been appointed to take up the said role.

Ms. Hui confirmed that she has no disagreement with the Board and there is nothing relating to her resignation that needs to be brought to the attention of The Stock Exchange of Hong Kong Limited or the shareholders of the Company. After resignation, Ms. Hui continues to act as Accounting Manager of the Company, responsible for corporate reporting and financial management.

Mr. Wong is a solicitor of the High Court of Hong Kong Special Administrative Region and is experienced in handling company secretarial, compliance and legal matters. He graduated from the University of Hong Kong with a Bachelor of Laws degree and a Postgraduate Certificate in Laws.

The Board would like to take this opportunity to express its appreciation to Ms. Hui for her contributions to the Company during her term of service and also express its warm welcome to Mr. Wong on his new appointment.
