Appointment of the Chairman of the Board of Directors and the Board Committees
The new Board of Directors of IRCE SPA met on 28 April 2025 and resolved to appoint Mr. Filippo Casadio as Chairman and CEO of the company.
The following committees have been set up within the Board:
- Control, Risks and Sustainability Committee: Ms. Marianna Fabbri - independent (Chairman) Ms. Carlotta Armuzzi – independent Mr. Orfeo Dallago - non-executive
- Remuneration Committee: Ms. Carlotta Armuzzi – independent (Chairman) Ms. Marianna Fabbri - independent Mr. Gianfranco Sepriano - independent
- Committee for the approval of transactions with related parties: Ms. Francesca Pischedda - non-executive (Chairman) Ms. Marianna Fabbri - independent Ms. Carlotta Armuzzi – independent
Ms. Carlotta Armuzzi was appointed as Lead independent director.
During the meeting, the Board deemed that its members, Ms. Marianna Fabbri and Ms Carlotta Armuzzi, meet the independence requirements pursuant to Article 148 of the TUF and the Code of Conduct.
