On December 11, 2012, Isis Pharmaceuticals, Inc. (“ *Isis*** ”) and AstraZeneca announced that they have entered a strategic alliance agreement for the discovery and development of novel generation antisense therapeutics against five cancer targets, which includes a license to develop and commercialize ISIS-STAT3 Rx , a drug Isis is currently evaluating in an early clinical trial in patients with advanced lymphomas.

Isis and AstraZeneca filed a press release describing this transaction. A copy of this press release is attached as Exhibit 99.1 to this Current Report and incorporated herein by reference.
