Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously reported in a Current Report on Form 8-K filed on on November 2, 2016, the Company and Patrick C. Lynch, the Company's Senior Vice President and Chief Financial Officer, announced that Mr. Lynch would be departing the Company. The Company and Mr. Lynch have now set December 15, 2016 as his last day of employment. While the Company is searching for a successor, Daniel T. Hendrix, Chairman and Chief Executive Officer, will also serve as the Company's interim principal financial officer and principal accounting officer. Biographical information for Mr. Hendrix, age 62, is included in the Company's Proxy Statement for the 2016 Annual Meeting of Shareholders and is incorporated herein by reference.
