Subject: Transfer of business shares in ELPIDA d.o.o.

Pursuant to provisions of the Capital Market Act (Official Gazette Nos.: 88/08, 146/08, and 74/09) and according to the Zagreb Stock Exchange rules, we wish to advise you as follows:

On 8 February 2011, the INSTITUT IGH, d.d. with the head office in Zagreb, Janka Rakuše 1, OIB: 79766124714, concluded with the company KERUM d.o.o., OIB 66124057408, with the head office in Split, Zrinjsko Frankopanska 68,

the agreement on the transfer of business shares, whereby the company KERUM d.o.o. transferred to the company INSTITUT IGH d.d. 50% of the equity capital of the company ELPIDA d.o.o for construction, with the head office in Split, Zrinjsko-Frankopanska 68, registered with the Commercial Court in Split under the company registration No. MBS 060266409, OIB 19459782232, for the amount of HRK 31,300,000.00. The company ELPIDA d.o.o. is the owner of the Nada Dimić investment project in Zagreb. After the said transaction, the ownership structure in the company ELPIDA d.o.o. is formed as follows: INSTITUT IGH d.d. 50% of equity capital and STIPIĆ GRUPA d.o.o. 50% of equity capital, which marks a continuation of cooperation between INSTITUT IGH, d.d. and STIPIĆ GRUPA d.o.o. on development of investment projects.
