Item 1.01 Entry into a Material Definitive Agreement.

On July 2, 2015, Calence, LLC, Insight Direct USA, Inc. and Insight Public Sector, Inc. (collectively, the "Resellers"), Castle Pines Capital LLC, as a lender and as an administrative agent, Wells Fargo Capital Finance, LLC, as a lender, as collateral agent and as an administrative agent, and the other lenders party to the Floorplan Credit Agreement (as defined below) entered into Amendment No. 2 to Amended and Restated Credit Agreement ("Amendment No. 2"). Amendment No. 2 amends the Amended and Restated Credit Agreement, dated as of April 26, 2012 (as amended, the "Floorplan Credit Agreement"), among the Resellers, the administrative agents, the collateral agent and the lenders thereunder to increase the aggregate availability under the Floorplan Credit Agreement to $250 million from $200 million. The Floorplan Credit Agreement matures April 26, 2017. The foregoing description of Amendment No. 2 is only a summary and is qualified in its entirety by reference to Amendment No. 2, a copy of which is filed as Exhibit 10.1 hereto and is incorporated herein by reference.
