Sub: Non Applicability of Regulation 23 (9) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

As per Clause 15(2) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the compliance with the Corporate Governance provisions as specified in the regulations which includes Regulation 23 (9) for submission of half yearly disclosure on Related Party Transactions shall not apply, in respect of the listed entity having a Paid up equity Share Capital not exceeding rupees Ten Crore and Net worth not exceeding Rs. Twenty five Crore, as on the last day of the previous financial year.

The status of our Company as on March 31, 2021 is as follows:	Amount (Rs. in Lakhs)

Net Worth	1371.68

According to this, the compliance of Regulation 23 (9) of the Listing Regulation shall not apply to our Company as the Paid up Equity Share capital and the Net Worth of the Company, as on the last day of the previous financial year is not exceeding the limit as mentioned above.

Thus, the submission of Half Yearly Disclosure on Related Party Transactions is not required. Hence we are not submitting the same.
