Indel B aggiorna la Procedura in materia di Operazioni con Parti Correlate

Sant'Agata Feltria (Rimini), 28 luglio 2021 – Indel B S.p.A. – società quotata all'MTA di Borsa Italiana, a capo di un gruppo attivo nella produzione di sistemi di refrigerazione e condizionamento per il mobile e mobile living per i mercati automotive, hospitality e leisure time (nautica da diporto e recreational vehicles), – comumica che il Consiglio di Amministrazione tenutosi in data 27 luglio 2021, ha approvato, con il preventivo parere favorevole del Comitato per le Operazioni con Parti Correlate, appositamente costituito e composto esclusivamente da Amministratori Indipendenti, le modifiche da apportare alla "Procedura in materia di Operazioni con Parti Correlate" adottata ai sensi dell'art. 2391-bis del codice civile secondo i principi indicati dalla Consob. Le suddette modifiche sono state apportate al fine di adeguare la "Procedure in materia di Operazioni con parti Correlate" della Società a quanto previsto dal regolamento adottato da Consob con delibera n. 17221 del 12 marzo 2010 e da ultimo modificato e integrato con la delibera Consob n. 21624 del 10 dicembre 2020 (il "Regolamento Consob") che entrerà in vigore dal 1 luglio 2021, oltre che al mero aggiornamento di alcuni riferimenti ai principi e alle raccomandazioni del nuovo Codice di Corporate Governance.

Indel B updates the Procedures on Related Party Transactions

Sant'Agata Feltria (Rimini), 28 July 2021 – Indel B S.p.A. – company listed on the Borsa Italiana MTA, heading a group that operates in the production of cooling and conditioning systems for mobile and mobile living for the automotive, Hospitality and Leisure Time markets (pleasure boating and recreational vehicles) – announces that the Board of Directors on 27 July 2021, approved, with the prior favourable opinion of the Related Parties Committee, specifically constituted and composed exclusively of Independent Directors, the changes to be made to its " Procedure on Related Party Transactions "adopted pursuant to art. 2391-bis of the civil code according to the principles indicated by Consob. The amendments were made in order to adapt the Company's "Procedure for Transactions with Related Parties" to the provisions of the regulation adopted by Consob with resolution no. 17221 of March 12, 2010, and most recently amended and integrated with Consob resolution no. 21624 of 10 December 2020 (the "Consob Regulation") which will enter into force from 1 July 2021, as well as the mere updating of certain references to the principles and recommendations of the new Corporate Governance Code.
