NOTICE IS HEREBY GIVEN THAT the 72nd Annual General Meeting (AGM) of IGI Holdings Limited (the Company) will be held on Thursday, the 30th day
of April, 2026 at 4:00 p.m. at the Auditorium of The Institute of Chartered Acc virtually via Zoom to transact the following business:

- To confirm the minutes of the Annual General Meeting (AGM) of the Company held on April 30, 2025. 1.

Procedure Election of Directors:
Any person who seeks to contest the election to the office of a director, whether he/she is a retiring director or otherwise, shall file the following
documents with the Company at least fourteen (14) days before the Annua
- Notice of his/her intention to offer him/herself for the election to the office of director in terms of Section 159(3) of the Companies Act, 2017. Consent to act as Director on Form 9 along with the Appendix to Form 9 of the Companies Regulations, 2024.

or original passport at the time of attending the meeting. - ii. In case of corporate entity, the Board of Directors' resolution / power of attorney with specimen signature of the nominee shall be produced (unless it has been provided earlier) at the time of meeting.
b) For appointing proxies
- In case of individuals, the account holder or sub-account holder and/ or the person, whose securities are in group account and their registration detail is uploaded as per the regulations, shall submit the proxy form as pe i. ii. The proxy form shall be witnessed by the two persons whose names, addresses and CNIC numbers shall be mentioned on the form.
- iii. Attested copies of CNIC or the passport of the beneficial owners and the proxy shall be furnished with the proxy form.
- The proxy shall produce his/her original CNIC or original passport at the time of the meeting. iv.
- In case of corporate entity, the Board of Directors' resolution/power of attorney with specimen signature shall be submitted to the Company along V. with proxy form.
