   On November 8, 2022, the Company consolidated all of its common shares on the basis of one (1) post-consolidation common share for every two (2) pre-Consolidation common shares (the "Consolidation").

5.1 Full Description of Material Change
On November 8, 2022, the Company completed its previously announced Consolidation and consolidated all of its common shares on the basis of one (1) post-Consolidation common share for every two (2) pre-Consolidation common shares previously held. Following completion of the Consolidation, the Company has 2,266,585 common shares issued and outstanding.
