Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 30, 2014, Hubbell Incorporated (the "Company") announced that effective September 30, 2014, Mr. Scott H. Muse, President of the Company's Lighting businesses, would be retiring from the Company. Effective June 30, 2014, Mr. Gary N. Amato has been appointed Executive Vice President, Hubbell Electrical Segment, assuming oversight for the Company's Lighting businesses in addition to his current role heading the Electrical Systems businesses. For the past seven years, Mr. Amato, age 63, has served as President of the Company's Electrical Systems businesses and has held key operational leadership positions during his 26 year career with the Company. Prior to that, Mr. Amato spent 15 years in positions of increasing responsibility with Allen Bradley-Rockwell Automation.
