Notice under sections 708A(5)(e) of the Corporations Act 2001 (Cth)

This notice is given by Hillgrove Resources Limited (ACN 004 297 116) (Hillgrove) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (the Act).

Hillgrove advises that:

• $(a)$ today it issued 57,415,803 ordinary fully paid Hillgrove shares (New Shares) at A\$0.085 per New Share, to institutional investors under a placement approved at the extraordinary general meeting held on 23 August 2012, the results of which were announced to the ASX on 23 August 2012;
• $(b)$ the New Shares were issued without disclosure to investors under Part 6D.2 of the Act;
• $(c)$ this notice is being given under section 708A(5)(e) of the Act:
• $(d)$ as at the date of this notice, Hillgrove has complied with:
• $(i)$ the provisions of Chapter 2M of the Act as they apply to Hillgrove; and
• $(ii)$ section 674 of the Act as it applies to Hillgrove; and
• as at the date of this notice, there is no excluded information of the type referred to in $(e)$ sections 708A(7) and 708A(8) of the Act.
