COMPANY ANNOUNCEMENT

The following is a Company Announcement issued by Hili Properties p.l.c. (the "Company") pursuant to the Capital Markets Rules issued by the Malta Financial Services Authority in accordance with the provisions of the Financial Markets Act (Chapter 345 of the Laws of Malta), as amended from time to time.

Reference is made to an announcement dated 14 October 2021 in which the Company announced that it had authorised the submission of an Application for Authorisation for Admissibility to Listing to the Malta Financial Services Authority requesting the approval of a prospectus in relation to a proposed public offering and listing (the "IPO") of its shares (the "Shares").

The Company announces the submission of the aforementioned application requesting the approval of a prospectus in relation to the IPO.

Notwithstanding there may be a limited number of exclusions due to applicable legislation, the Company is also pleased to announce that, should the Company proceed with the IPO, a number of the Shares will be available for subscription on a preferential basis by:

a. those persons employed on a full-time basis or engaged to provide directorship services by any subsidiary or parent company of Hili Ventures Limited (C57902) at the time the prospectus is published; and
b. those persons holding securities listed on the Malta Stock Exchange in respect of any of the following companies:
- i. the Company
- ii. 1923 Investments p.l.c. (formerly PTL Holdings p.l.c.)
- iii. Premier Capital p.l.c.
- iv. Hili Finance Company p.l.c.
- v. Harvest Technologies p.l.c.

(the "Hili Ventures Group Securities Holders")

The Hili Ventures Group Securities Holders should note that those that will be given preference when participating in the IPO are those that appear on the companies' register at the Central Securities Depository of the Malta Stock Exchange at close of business on the 26 October 2021 which includes trades up to 22 October 2021.
