Hexagon Composites ASA: New share capital registered

8 June 2026: Reference is made to the stock exchange announcement made by

Hexagon Composites ASA (the "Company") on 7 May 2026 regarding the successful

private placement of 68,750,000 new shares in the Company (the "Private

Placement Shares") at a price of NOK 8.00 per share, raising gross proceeds of

NOK 550 million. Reference is further made to the resolution made by the annual

general meeting of the Company held on 4 June 2026 to, inter alia, issue the

Private Placement Shares.

The share capital increase pertaining to the issuance of the Private Placement

Shares has now been registered with the Norwegian Register of Business

Enterprises. The Company's new share capital is NOK 32,083,449.60 divided into

320,834,496 shares, each with a nominal value of NOK 0.10.
