Hexagon Composites ASA : Registration of share capital increase

Reference is made to the stock exchange notice published by Hexagon Composites

ASA (the "Company") on 29 February 2016 regarding the private placement of

33,333,000 new shares towards Mitsui & Co., Ltd., each with a nominal value of

NOK 0.10, at a price of NOK 20 per share (the "Private Placement").

The share capital increase pertaining to the new shares issued in the Private

Placement has now been registered with the Norwegian Register of Business

Enterprises.

The Company's new registered share capital is NOK 16,662,786.80 divided into

166,627,868 shares, each with a nominal value of NOK 0.10.

This information is subject to the disclosure requirements pursuant to section

5-12 of the Norwegian Securities Trading Act.
