Hexagon Composites ASA - disclosure of large shareholding by Mitsui & Co. Ltd. ("Mitsui")

Reference is made to the announcement by Hexagon

Composites ASA ("Hexagon") on 29 February 2016, where

Hexagon announced the proposed issue of 33,333,000 new

shares to Mitsui pursuant to the terms of an

investment agreement entered into with Mitsui

(the "Investment Agreement"). It was further announced

that Mitsui had separately entered into a share

purchase agreement (the "SPA") pursuant to which

Mitsui would purchase 8,333,321 Hexagon Composites

shares.

On 30 March 2016, the Investment Agreement and the SPA

were completed in accordance with their terms, and

consequently Mitsui now holds 41,666,321 shares

(corresponding to 25.01% of the outstanding shares of

the Company).
