Demerger Flakk Holding AS

On 26.8 2015, the board of directors of Flakk Holding

AS resolved to propose to its shareholders meeting

that Flakk Holding AS shall demerger certain assets

to Flakk Investment AS, included in which are 42 615

988 shares in Hexagon Composites ASA. Flakk Holding

AS is wholly owned by Flakk Gruppen AS, a company

owned 98.7% by Knut Flakk. After, and subject to,

completion of the demerger, Flakk Investment AS will

be incorporated as a wholly owned subsidiary of Flakk

Gruppen AS and hold 42 615 988 shares (32,0%) of the

total number of shares in Hexagon Composites ASA, and

Flakk Holding AS will hold 0 shares. The total

holding of Knut Flakk and his close associates,

including Flakk Holding AS and Flakk Investment AS,

remains unchanged at 44,429,038 shares in Hexagon

Composites ASA. The demerger is expected to take

place at the end of Q4 2015.
