Hexagon Composites ASA : Mandatory notification of trade

On May 29th 2009 Flakk Holding AS entered into a forward contract to sell

4,800,000 shares in Hexagon Composites ASA to the company Nødingen AS for a

price of NOK 4.23 per share with addition of interest for the contract period.

The forward contract became due and was exercised on May 29th 2014 whereby Flakk

Holding AS sold 4,800,000 shares in Hexagon Composites ASA at a price of NOK

5.13 per share to Nødingen AS.

Mr. Knut Flakk, who is Chairman of Hexagon Composites ASA, owns 99% of Flakk

Holding AS and 52% of Nødingen AS. The remaining shares of Nødingen AS are owned

by Mr. Knut Flakk's two daughters, Maria Lilly Flakk and Erika June Flakk with

24% each.

After the transaction the Flakk Holding Group and Nødingen AS hold respectively,

40,115,988 shares and 4,800,000 shares in Hexagon Composites ASA.
