ITEM 2.02 RESULTS OF OPERATION AND FINANCIAL CONDITION

On July 23, 2009, Heritage Commerce Corp issued a press release announcing preliminary results for the second quarter ended June 30, 2009. A copy of the press release is attached as Exhibit 99.1 to this Current Report and is incorporated herein by reference.
