The registrant issued a press release on February 29, 2012 announcing that it has received approval from its regulators and the U.S. Treasury Department to repay the $40 million of preferred stock issued under the TARP Capital Purchase Program, as well as repayment of approximately $117,000 of related dividends. The repayment is expected to be completed on March 7, 2012. A copy of the press release is filed as Exhibit 99.1 and is incorporated herein by reference .
