Item 5.05 Amendment to Code of Ethics

On October 18, 2012, our board of directors approved changes to our code of conduct applicable to all officers, directors and employees. The changes primarily deal with the inclusion of provisions for fair dealing, confidentiality, and protection of company property. The purpose of the changes was to ensure compliance with the rules of the New York Stock Exchange.

A copy of the Homeowners Choice, Inc. Code of Conduct appears as Exhibit 99.1 to this form 8-K.
