Item 1.01 Entry into a Material Agreement

On August 26, 2021, we entered into a privately negotiated exchange agreement with a holder of $46.99 million principal amount of our 4.25% Convertible Senior Notes due 2037 whereby the holder is to exchange all its Notes for our common shares at a rate of 15.7626 shares per $1,000 of principal, plus a number of shares to be determined by reference to the per share volume-weighted average price during a five-trading-day period beginning the first trading day following the date of the agreement. The shares are to be issued in private placement in reliance on an exemption from registration under Section 4(a)(2) of the Securities Act of 1933, as amended. The anticipated closing date of the exchange is September 3, 2021.
