Notification of Transactions by Persons Discharging Managerial Responsibilities ('PDMRs')

Hays plc (the "Company")

In accordance with Disclosure and Transparency Rule 3.1.4R (1) (a), the Company was notified that, on 20 May 2015, Paul Venables, Hays plc Finance Director (a PDMR), sold 750,000 Ordinary Shares of 1p each in the Company at 163.6615 pence per share.

Following this transaction, Paul Venables holds 953,014 Ordinary Shares in the Company.
