Der Aufsichtsrat hat sich im Geschäftsjahr 2010/2011, beginnend am 01.07.2010 und endend am 30.06.2011, regelmäßig vom Vorstand über den Geschäftsverlauf und die Lage der Hays AG sowie ihrer Tochtergesellschaft einschließlich der Risikolage sowie die Umsetzung und Weiterentwicklung der Unternehmensstrategie unterrichten lassen. Er hat die Geschäftsführung des Vorstandes während des Geschäftsjahres kontinuierlich überwacht.	In the business year 2010/2011, beginning an 01.07.2010 and ending an 30.06.2011, the supervisory board was regularly informed by the board of directors about the commercial course and the position of the Hays AG as well as the subsidiary including the risk position as well as the conversion and advancement of the company strategy. The supervisory board has continuously supervised the management of the board of directors during the business year.
Zu diesem Zweck hat ihn der Vorstand in den Aufsichtsratssitzungen und darüber hinaus durch schriftliche und mündliche Berichte über die Geschäftspolitik, die Unternehmensplanung, etwaige Abweichungen im Geschäftsverlauf sowie die wirtschaftliche Lage und Entwicklung der Hays AG und ihrer Tochtergesellschaft detailliert informiert. Außerdem ließ sich der Vorsitzende des Aufsichtsrats durch zusätzliche Gespräche mit dem Vorsitzenden des Vorstands regelmäßig über die aktuelle Entwicklung der Geschäftslage, wesentliche Fragen der Geschäftspolitik und wesentliche Geschäftsvorfälle berichten.	For this purpose the board of directors has informed the supervisory board by every supervisory board meeting and, in addition, by written and verbal reports an the business policy, the enterprise planning, any divergences in the commercial course as weil as the economic position and development of the Hays AG and its subsidiary in detail. In addition, the chairman of the supervisory board was reported by additional conversations with the chairman of the board of directors regularly about the topical development of the state of business, essential ques­tions of the business policy and essential commercial incidents.
Sitzungen und Beschlüsse des Aufsichtsrats	Meetings and resolutions of the supervisory board
Im Geschäftsjahr 2010/2011 fanden mehrere Management Meetings u. a. in London und Mannheim am Sitz der Gesellschaft statt. In diesen Sitzungen wurden - neben der oben erwähnten Unterrichtung und Information durch den Vorstand - Diskussionen und Fragen zur Entwicklung der Unternehmen geführt bzw. gestellt, und schließlich zu einzelnen Vorschlägen, Geschäften und Maßnahmen des Vorstands die nach Gesetz, Satzung oder Geschäftsordnung erforderlichen Beschlüsse gefasst bzw. Zustimmungen oder Genehmigungen erteilt.	Management meetings in the business year 2010/2011 took place inter alle in London and Mannheim at the seat of the company. Besides the information by the board of directors mentioned above several discussions and questions of the development of the company were held and asked in these meetings and, in the end, the approvals to necessary resolutions for single suggestions, businesses and actions of the board of directors accord­ing to the law, statute or agenda were given.
An wesentlichen Beschlüssen des Aufsichtsrates im Geschäftsjahr 2010/2011 sind zu erwähnen:	In essential resolutions of the supervisory board in the fiscal year 2010/2011 are to be mentioned:
• Feststellung des Jahresabschlusses für das Geschäftsjahr 2009/2010 nach HGB,	• approval of the annual accounts for the business year 2009/2010 according to HGB,
• Entlastung des Vorstands für das Geschäftsjahr 2009/2010,	• discharge of the board of directors for the business year 2009/2010,
• Vorschlag an die Hauptversammlung zur Verwendung des Bilanzgewinns für das Geschäftsjahr 2009/2010,	• suggestion to the general meeting for the use of the balance profit for the business year 2009/2010,
• Wahl und Bestellung von Deloitte zum Abschlussprüfer für das Geschäftsjahr 2010/2011,	• nomination of Deloitte as annual auditor for the business year 2010/2011,
• Verabschiedung der einzelnen Beschlussvorschläge für die ordentliche Hauptversammlung für das Geschäftsjahr 2010/2011,	• approval of the single proposals for resolutions for the annual general meeting for the business year 2010/2011,
• Verabschiedung des Berichts des Aufsichtsrates an die Hauptversammlung für das Geschäftsjahr 2009/2010,	• enacting of the report of the supervisory board to the annual general meeting for the business year 2009/2010,
• Genehmigung mehrerer Prokuren für Führungskräfte der Hays AG,	• approval of several proxies (Prokura) for executives,
• Genehmigung der Vorstandsvergütung für das Geschäftsjahr 2010/2011 für die Herren Klaus Breitschopf, Tom Schoenrock und Dirk Hahn,	• approval of the compensation of the board of directors for the business year 2010/2011 for Klaus Breitschopf, Tom Schoenrock and Dirk Hahn,
• Zustimmung zur Ernennung von Marc Lutz zum Direktor der Hays (Schweiz) AG,	• Approval of the appointment of Marc Lutz as Managing Director of Hays (Schweiz) AG,
Jahresabschluss und Lagebericht Geschäftsjahr 2010/2011	Annual accounts and financial report of the business year 2010/2011
Der Jahresabschluss nach HGB sowie der Lagebericht der Hays AG für das Geschäftsjahr 2010/2011 sind von dem durch die Hauptversammlung gewählten und danach vom Aufsichtsrat beauftragten Abschlussprüfer Deloitte & Touche GmbH Wirtschaftsprüfungsgesellschaft geprüft worden. Die Prüfung führte im Ergebnis zu einem eingeschränkten Bestätigungsvermerk aus folgendem Grund:	The annual accounts according to HGB as well as the financial report of the Hays AG for the business year 2010/2011 have been checked by the annual audi¬tors Deloitte & Touche GmbH account¬ancy firm, elected by the general meeting and appointed by the supervisory board afterwards. The audit caused a restricted auditor's report for the following reason:
"Entgegen § 285 Satz 1 Nr. 9 a) HGB wurden im Anhang die Gesamtbezüge des Vorstands nicht angegeben."	"Contrary to § 285 clause 1 No. 9 a) HGB the sum of all earnings of the board of directors was not stated in the appendix."
Der Jahresabschluss, der Lagebericht, die dazu erstellten Prüfungsberichte des Abschlussprüfers sowie der Vorschlag des Vorstands zur Verwendung des Bilanzgewinns wurden jedem Aufsichtsratsmitglied zur Verfügung gestellt. Vertreter des Abschlussprüfers nahmen an der Bilanzsitzung des Aufsichtsrats am 11.10.2011 teil, berichteten über die wesentlichen Ergebnisse ihrer Prüfung sowie festgestellte Risiken, erläuterten ihre Prüfungsberichte und beantworteten die Fragen der Aufsichtsräte.	The annual accounts, the financial report, the auditor's report of the annual auditor as well as the Suggestion of the board of directors for the use of the balance profit were made available to every superviso¬ry board member. Representatives of the accountancy firm took part in the ac¬counts review meeting of the supervisory board an 11th October 2011 and reported about the essential results of their audit as well as ascertained risks, explained their auditor's reports and answered the questions of the supervisory board.
Der Aufsichtsrat hat gemäß § 171 AktG den Jahresabschluss, den Lagebericht sowie den Vorschlag des Vorstands über die Verwendung des Bilanzgewinns geprüft. Er hat sich dem Ergebnis der Prüfung durch den Abschlussprüfer angeschlossen und als Ergebnis seiner eigenen Prüfung festgestellt, dass keine weiteren Einwendungen zu erheben sind. Der Aufsichtsrat hat den vom Vorstand aufgestellten Jahresabschluss der Hays AG für das Geschäftsjahr 2010/2011 in seiner Sitzung vom 11.10.2011 gebilligt. Der Jahresabschluss ist damit festgestellt. Der Aufsichtsrat hat sich des Weiteren dem Gewinnverwendungsvorschlag des Vorstands angeschlossen.	The supervisory board has reviewed the annual accounts, the financial report as well as the Suggestion of the board of directors about the use of the balance profit according to § 171 AktG. The su¬pervisory board has subscribed to the result of the audit by the annual auditors and has ascertained that no other objections are to be raised. The supervisory board has approved the annual accounts prepared by the board of directors for the business year 2010/2011 by its meeting of 11th October 2011. The annual accounts are ascertained with it. The supervisory board has subscribed to the proposal of the board of directors an the allocation of the non-appropriated profits.
Abhängigkeitsbericht	Dependence report
Der vom Vorstand gemäß § 312 AktG erstellte Bericht über die Beziehungen zu verbundenen Unternehmen ("Abhängigkeitsbericht") wurde ebenfalls vom Abschlussprüfer geprüft und mit folgendem Vermerk versehen:	The report about the relations with affiliated companies ("dependence report") compiled by the board of directors according to § 312 AktG was also proved by the annual auditors and was applied with the following notation:
"Nach unserer pflichtgemäßen Prüfung und Beurteilung bestätigen wir, dass	"After our dutiful audit and judgement we confirm, that
1. die tatsächlichen Angaben des Berichts richtig sind und	1. the actual information of the report is correc and,
2. bei den im Bericht aufgeführten Rechtsgeschäften die Leistung der Gesellschaft nicht unangemessen hoch war.	2. the payments of the company for the legal acts in the report weren't inadequate high.
Der Aufsichtsrat hat das Ergebnis der Prüfung durch den Abschlussprüfer zur Kenntnis genommen und stimmt diesem nach eigenständiger Prüfung des Abhängigkeitsberichts zu. Er hat gegen die im Bericht enthaltene Erklärung des Vorstands über die Beziehungen zu verbundenen Unternehmen keine Einwendungen.	The supervisory board has taken note of the result of the audit of the annual auditors and agrees to this alter independent control of the dependence report. The supervisory board has na objections to the statement of the board of directors contained in the report about the relations with affiliated companies.
Besetzung von Aufsichtsrat und Vorstand	Composition of the supervisory board and the board of directors
Der Aufsichtsrat der Gesellschaft bestand zum 01.07.2010 aus den Herren Alistair Richard Cox (Vorsitzender), Nicholas Raymond Cox und Mark lan James Berry.	The supervisory board of the company consists to 1g July 2010 of Alistair Richard Cox (chairman), Nicholas Raymond Cox and Mark lan James Berry.
Zum Ablauf des 05. Mai 2011 hat Herr Mark lan James Berry sein Mandat als Aufsichtsratsmitglied und stellvertreten der Aufsichtsratsvorsitzender niedergelegt. Als Ersatz wurde Herr Martin James Abell in der außerordentlichen Hauptversammlung am 06. Mai 2011 in den Aufsichtsrat und zum stellvertretenden Aufsichtsratsvorsitzenden gewählt.	Mark lan James Berry has resigned as a member of the supervisory board and deputy Chairman, effective May 05th 2011. He was replaced by Martin James Abell who was elected as a member of the supervisory board and deputy chairman at the extraordinary general meeting an May 6th 2011.
