Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons  

Hargreaves Lansdown plc (the "Company") has received notification that on 5th October 2016 the following PDMR exercised share options as detailed below:

The market value at the date of exercise was £13.11.  No new shares have been issued as a result of the exercise of the share options.

Mr Worle has advised that he subsequently sold a total of 9,829 ordinary shares of 0.4 pence in the Company ("ordinary shares") at a price of £13.11 per share on 5th October 2016.  This sale was solely made to meet the cost of the taxation arising on their exercise and the transactions result in an overall increase in Mr Worle's holding in the Company.  The number of ordinary shares sold represented 0.0021% of the ordinary shares in issue.   Following these transactions, the beneficial shareholding of Mr Worle (including his connected persons) is 50,676 ordinary shares representing 0.01% of the ordinary shares in issue.  

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above PDMR.
