The following notification is made in accordance with the requirements of DTR 3.1.4R.

On 6 June 2014, and following the assessment of the performance conditions, the Company was notified of the following transaction in its 25 pence ordinary shares on behalf of Timon Drakesmith, a Director of the Company, in respect of:

1.    the vesting of an award granted on 6 June 2011 under the Hammerson plc 2007 Long-Term Incentive Plan (the "LTIP"); and

2.    the vesting of the second tranche of a conditional share award granted on 6 June 2011 as part of his recruitment terms (the "RSA").

Shares were sold on 6 June 2014 at a price of 615.50 pence per share to cover Income Tax and NIC liability.  The retained shares were transferred to Mr Drakesmith.

The total number of ordinary shares of 25p each in the Company held by Mr Drakesmith after both vesting exercises is 207,958.
