Item 8.01 Other Events.

On May 11, 2005, Answerthink, Inc. (“Answerthink”) issued a press release announcing a $5 million increase in the size of the Company’s share repurchase program, bringing the total program authorization to $30 million. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
