COMPLETION OF PLACING

The Board is pleased to announce that completion of the Placing has taken place on 25 April 2006. An aggregate of 175,000,000 new Adjusted Shares were placed to not less than six independent Placees.

Reference is made to the announcements dated 1 March 2006 and 17 March 2006 and the circular of Wing On Travel (Holdings) Limited dated 17 March 2006 (the “Circular”) in relation to, among others, the Placing Agreement pursuant to which the Placing Agent conditionally agreed to place, on a best effort basis, up to 175,000,000 new Adjusted Shares at a price of HK$0.69 per Adjusted Share to the Placees. Terms used herein shall have the same meanings as those defined in the Circular unless the context herein requires otherwise.

COMPLETION OF THE PLACING

The Board is pleased to announce that completion of the Placing has taken place on 25 April 2006. An aggregate of 175,000,000 new Adjusted Shares were placed to not less than six independent Placees. Each of the Placees and their respective ultimate beneficial owners is an Independent Third Party. None of the Placees is interested in 10% or more of the issued Adjusted Shares upon completion of the Placing.
