Milan, 24 July 2025 - FM S.p.A. ("FM"), in its capacity as majority shareholder, announces that discussions are currently underway with a number of leading international investors in order to evaluate a potential strategic partnership involving GPI S.p.A. ("GPI"), aiming to enhance its value and growth. This partnership may include a tender offer for the entirety of GPI's shares with the purpose of delisting them from Euronext Milan.
It should be noted that, to date, FM has not signed any binding agreements regarding the terms and conditions, including economic terms, of the potential transaction, nor has it granted any exclusivity period to potential strategic partners.
Updates on the potential transaction will be provided to the market in accordance with applicable laws and regulations.
