Notification of transactions by connected person of Person Discharging Managerial Responsibilities
Pursuant to the Company's obligations under Disclosure and Transparency Rule 3.1, Glencore Xstrata plcnotifies that on 15 May 2013 FR Galaxy Holdings S.à r.l. (FR) notified the Company that:
1. on 10 May 2013 its share swap transactions were terminated and it disposed of derivatives relating to 19,787,834 ordinary shares in the capital of the Company listed on the London Stock Exchange (the "Shares"), and it subsequently purchased 19,787,834 Shares, at an average price of £3.56 per Share;
2. on 10 May 2013 a share swap transaction entered into by its affiliate, ECP Galaxy Holdings S.à r.l. ("ECP"), was terminated, and ECP disposed of derivatives relating to 1,125,000 Shares and subsequently purchased 1,125,000 Shares, at an average price of £3.56 per Share;
3. these transactions constitute notifiable transactions under DTR 3.1.2; and
4. these transactions took place in London.
FR is a connected person of Mr. William Macaulay, a Director and person discharging managerial responsibilities of Glencore Xstrata plc.
