GIGLIO GROUP: NEW NOTICE FOR ORDINARY AND EXTRAORDINARY SHAREHOLDERS' MEETING RECTIFYING PREVIOUS NOTIFICATION AND CHANGE IN THE CALENDAR OF COMPANY EVENTS

Milan, 26 February 2016 – Giglio Group announces that, rectifying and integrating the previous announcement made on 22 February 2016, today the newspaper Italia Oggi published a notice for the Ordinary and Extraordinary Shareholders' Meeting, which will be held on Monday 14 March 2016, 3:00 PM, and, if necessary, also on Thursday 17 March 2016, 8:00 AM, to discuss and resolve upon the following agenda:

• 1. Approval of financial statement and report on the budgetary and financial management of the company, as at 31 December 2015;
• 1. Share capital increase via contribution in kind with exclusion of pre-emptive rights;
• 1. Amendment of Art. 2 of the Bylaws and transfer of the registered office from Rome to Milan;
• 1. Related resolutions and resulting matters;
• 1. Chairman's communication;
• 1. Any other business.

Entitlement to participate in the Meeting and to exercise voting rights must be certified to the Company in writing by an empowered intermediary acting on behalf of the party vested with said voting rights, on the basis of the shareholder information applicable upon conclusion of the accounting day on the seventh trading day prior to the date scheduled for the meeting on first call (record date), namely 3 March 2016. Debit and credit entries made after that date shall not be taken into account for the purpose of entitlement to vote at the Shareholder's Meeting. In compliance with current laws, all parties with a legitimate right to attend the Meeting may grant powers of representation through written proxy, by signing the proxy form available at the registered office of Giglio Group S.p.A. The documentation referring to the items on the agenda will be available to all persons and parties, in accordance with the law, via its deposit at the registered office and on the company's website www.giglio.org

CHANGE IN THE CALENDAR OF COMPANY EVENTS

In the light of the Shareholders' Meeting change, the company, pursuant to Art. 17 of AIM Issuer Regulation, simultaneously announces the following updates in its financial calendar:

Ordinary and Extraordinary Shareholder's Meeting

-First Convocation, Monday 14 March, 15:00 PM

-Second Convocation, Thursday 17 March, 8:00 AM
