Sub: Notification from Ghitha Holding PJSC
Greetings,
We write to inform you that Ghitha Agriculture Holding LLC, a subsidiary of Ghitha Holding PJSC, signed a Sale and Purchase Agreement ("SPA") to sell 100% of its shareholding in 'AGRINV SPV RSC LTD' to NRTC Food Holding LLC for a consideration of USD 47 million. Ghitha Holding will continue to consolidate AGRINV SPV RSC LTD through NRTC Food Holding LLC.
The completion of the transaction is subject to the satisfaction of certain conditions under the SPA and receipt of regulatory approvals.

نكتب لإبلاغكم بأن شركة غذاء للزراعة القابضة ذ.م.م، وهي شركة تابعة لشركة غذاء القابضة ش.م.خ، قد وقعت اتفاقية بيع وشراء ("اتفاقية بيع وشراء") لبيع 100% من حصتها في "اغربانف اس بي في ربِستركتد ليمند" إلى شركة ان ارتي سي فود القابضة ذ.م.م. مقابل مبلغ 47 مليون دولار أمريكي. وستواصل غذاء القابضة دمج شركة " اغريانف اس بي في ربستركتد ليمتد" من خلال شركة ان ارتي سي فود القابضة ذ.م.م.
وبخضع إتمام الصفقة للوفاء بشروط معينة بموجب اتفاقية البيع والشراء والحصول على الموافقات التنظيمية.
