Re: Immediate Report
Further to the Company's immediate report dated January 10, 2020, regarding the agreement reached with Neyðarlínan, an Icelandic communication company (the "Communication Company"), which operates a national emergency communications services dispatch system across hundreds of sites in Iceland, according to which the Communication Company would install and deploy the GenCell A5 Off-Grid solution (the "Solution") in order to test the Solution's ability to operate at its emergency sites (Ref No. 2020-01-004330) (the above mentioned is hereby incorporated by reference), the Company is proudto announce that the Company has successfully operated the Solution continuously and autonomously for 1 month (720 hours) (the "Installation"), and as a result has provided green and clean electricity for all hours of the day and in extreme and volatile weather conditions to an active power station which is a part of the Communication Company's mobile network.
According to the Company's estimations, the results of this Installation indicate a major technological breakthrough and demonstrate significant progress in the Company's ability to operate the Solution 24/7 in extreme and volatile weather conditions.
In addition, the company wishes to announce that as of the date of this Immediate Report, the Solution is still operating satisfactorily and the Company's management estimates that the Solution will meet the threshold conditions specified in the agreement, which will enable the parties to consider equipping more of the Communication Company's stations with Solution units at other sites.
Moreover, the positive results of the Installation will enable the Company to advance its cooperation with other communication companies around the world.

The information in this Immediate Report, with respect to the expected achievement of threshold conditions, the possibility of installing additional solution units for the Communications Company at other sites and the ability to engage with other communications companies as potential customers is forward-looking information which falls under the jurisdiction of the Securities Law, 1968. There is no certainty that these events will take place at all, or might take place in a materially different way from what is stated above. Any forward-looking information contained in this Immediate Report is based, in addition to existing information of the Company, on current Company expectations and assessments. Although the Company believes that the assumptions upon which any forward-looking statements are based are reasonable, any of these assumptions could prove to be inaccurate and the forward-looking statements based on these assumptions could be incorrect.
Sincerely,
Gencell Ltd.
