Issue of Securities and Cleansing Notice

The Company advises of the issue of 10,000,000 fully paid ordinary shares and 60,000,000 performance rights issued pursuant to the Appendix 3B lodged with ASX on 27 November 2024.

A total of 30,000,000 performance rights have been issued pursuant to ASX Listing Rules 7.1 and 10.12.(exception 12), a further 30,000,000 performance rights issued pursuant to ASX Listing Rule 7.2 (exception 13) and the Company’s Incentive Performance Rights Plan approved by shareholders on 7 September 2023 and 10,000,000 shares issued pursuant the Company’s security issue capacity under ASX Listing Rule 7.1.

In addition, the Company has issued a total of 4,381,089 fully paid ordinary shares in consideration for the settlement of invoices for contracting services (Consideration Shares). The Consideration Shares have been issued pursuant to the Company’s security issue capacity under ASX Listing Rule 7.1.

An Appendix 2A and Appendix 3G will be released following this announcement in relation to the issue of the abovementioned securities. A cleansing notice is appended to this announcement regarding the issue of shares.

GBM RESOURCES LIMITED SECONDARY TRADING NOTICE – NOTIFICATION PURSUANT TO PARAGRAPH 708A(5)(e) OF THE CORPORATIONS ACT 2001

This notice is given by GBM Resources Limited (ACN 124 752 745) (“GBM”) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (“the Act”).

On 17 January 2025, GBM issued a total of 14,381,089 ordinary fully paid shares, without disclosure under Part 6D.2 of the Corporations Act.

GBM gives notice under section 708A(5)(e) of the Act that:

• (a) The shares were issued without disclosure to investors under Part 6D.2 of the Act;

• (b) as a disclosing entity, GBM is subject to regular reporting and disclosure obligations;

• (c) as at the date of this notice, GBM has complied with the provisions of Chapter 2M as they apply to GBM and section 674 and 674A of the Act; and

• (d) as at the date of this notice, there is no information that is ‘excluded information’ within the meaning of section 708A(7) and 708A(8) of the Act which is required to be disclosed by GBM under section 708A(6)(e) of the Act.
