Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On July 3, 2013, FS Bancorp, Inc. (the “Company”) amended its Bylaws to provide shareholders with more flexibility in voting through telephonic and electronic voting. In addition, the Bylaws were amended to reflect the Company’s current number of directors. A copy of the Company’s Amended and Restated Bylaws are attached hereto as Exhibit 3.2.
