Item 8.01. Other Events.

On March 5, 2019, MidOcean Partners III, L.P., MidOcean Partners III-A, L.P., and MidOcean Partners III-D, L.P. (collectively, the “ Selling Stockholders ”) and Freshpet, Inc. (the “ Company ” ) entered into an underwriting agreement (the “ Underwriting Agreement ”) with Goldman Sachs & Co. LLC (the “ Underwriter ”) pursuant to which the Selling Stockholders agreed to sell to the Underwriter and the Underwriter agreed to purchase from the Selling Stockholders, subject to and upon the terms and conditions set forth therein, an aggregate of 4,000,000 shares of the Company’s common stock. The transaction closed on March 8, 2019. The Company did not receive any proceeds from the sale of the shares in the offering. The Company and the Selling Shareholders have agreed to indemnify the Underwriter against certain liabilities, including liabilities under the Securities Act of 1933, as amended, or to contribute to payments the Underwriter may be required to make in respect of those liabilities.
