Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.

(e) On November 21, 2006, the Compensation Committee of the Board of Directors of Franklin Resources, Inc. (the “Company”) approved an increase in the base salary of Kenneth A. Lewis to $400,000 per year and made this new base salary retroactive to October 20, 2006, the effective date for Mr. Lewis’ appointment as the Company’s Senior Vice President, Chief Financial Officer and Treasurer.
