EXMAR, FLEX LNG AND GEVERAN WITHDRAW FROM ANNOUNED MERGER TRANSACTION

EXMAR refers to previous announcement of 1 July, 2015 that EXMAR NV, FLEX LNG Ltd. (the "Company") and GEVERAN Trading Co. Ltd. had agreed on the main terms for a transaction whereby EXMAR's LNG and Liquefied Natural Gas Infrastructure assets and GEVERAN's two LNG vessels under construction would be contributed to the Company, which already owns two LNG assets under construction, in exchange for new shares in the Company issued to EXMAR and GEVERAN.

The parties have failed to agree on the terms. The previously announced transaction will not be completed.

EXMAR will continue focusing on LNG infrastructure and pursue its strategy of barge based FLNG and FSRU projects.

EXMAR verwijst naar het persbericht van 1 juli 2015, waar EXMAR NV, FLEX LNG Ltd. (de "Vennootschap") en GEVERAN Trading Co. aankondigden een overeenkomst te hebben waarbij EXMAR haar LNG-activa en LNG-infrastructuur zou inbrengen en GEVERAN inbreng zou doen van twee LNGschepen in aanbouw in de "Vennootschap", die reeds twee LNG-eenheden in aanbouw had. Als vergoeding voor hun inbreng zou de "Vennootschap" nieuwe aandelen uitgeven en toekennen aan EXMAR en GEVERAN.

De partijen zijn er niet in geslaagd tot een overeenstemming te komen over de voorwaarden waardoor de aangekondigde transactie niet zal voltooid worden.

EXMAR zal zich blijven focussen op haar LNG-infrastructuur en drijvende liquefactie- en hervergassingsprojecten.
