RESOLUTIONS OF THE ORGANIZATION MEETING OF ETTEPLAN OYJ'S BOARD OF DIRECTORS

The Annual General Meeting of Etteplan Oyj, on March 30, 2012, re-elected Tapio
Hakakari, Heikki Hornborg, Robert Ingman, Pertti Nupponen, Satu Rautavalta and
Teuvo Rintamäki as members of Board of Directors.

The Board of Directors of Etteplan Oyj has in its organization meeting
subsequent to the AGM elected Heikki Hornborg as Chairman of the Board and
Robert Ingman as Vice Chairman of the Board.

Tapio Hakakari was elected the Chairman and Heikki Hornborg and Robert Ingman
as members of the Nomination and Remuneration Committee of Etteplan Oyj. The
Committee has the same charter as before.

The Board of Directors has in its organization meeting evaluated the
independence of the Directors according to the Finnish Corporate Governance
Code. The Board has stated that all members of the Board are independent of the
Company. Tapio Hakakari, Heikki Hornborg, Pertti Nupponen, Satu Rautavalta and
Teuvo Rintamäki are independent of significant shareholders.
